Terms & Conditions

The Institute for Advancing Health Value (the Institute) offers membership (Membership) to those individuals and organizations (members) that opt to participate based on agreed upon pricing and benefits as described on the Institute’ website. Membership is conditional on agreement, acceptance, and adherence to the Terms and Conditions (Terms) set forth below.

These Terms are subject to change at any time and, while the Institute may provide notice of any such changes, it is the responsibility of members to stay apprised of and adhere to the posted Terms. Continued use of the Membership benefits following any such change constitutes the member’s acknowledgement of such change and agreement to follow and be bound by the modified Terms.

Member Conduct

Members will abide by the Guidelines for Community and always maintain respectful and professional conduct while interacting with other Institute members and guests. Collaboration and networking should be focused on sharing insights and not on sales pitches of products or services offered by member organizations or individuals.

Members are expected to follow and represent they follow antitrust/Stark laws. A primary objective of the Institute is collaboration, with sharing as an important means of accelerating industry success in value. However, we expect that no anti-competitive sharing of information will occur. Members will report any concerns with someone sharing information that may be construed as anti-competitive.

Membership Period and Fees

Membership with the Institute will commence upon completion of the membership application, payment of membership dues, and acceptance of these Terms. Note that the Institute membership term will be one year from the day of membership commencement. Expiration date and membership type (and related fees) can be found in the Membership Portal or by requesting that information from the membership manager.

Membership renews annually, unless the member provides written notice (via email to pamela.schneider@wgu.edu) of intent not to renew. Renewal reminders will be sent to the key contact identified by member beginning 60 days prior to renewal date. Invoices for membership will include a Net 45 payment term. If an invoice is not paid after 45 days, the membership will be terminated.

The Institute reserves the right to suspend or terminate Membership for any breach of these Terms, including failure to pay the membership fee. Membership may not be assigned or delegated without the express written consent of the Institute.

Ownership and Use of Content 

All non-public information, materials, and analysis (Content) provided by the Institute is the sole and exclusive property of the Institute and its licensors, who retain all right, title, and interest. During the Membership period, members are granted a limited, nonexclusive, nontransferable, non-sublicensable right and license to use, display or print content solely for internal, non-commercial business purposes. Members may not white-label, sell, license, lease, publish, distribute, retransmit, or otherwise provide access to the Content, in whole or in part, to any third parties without the Institute’s prior written consent. The Institute reserves the right to update, modify, and remove Content in its sole discretion.

Membership List 

Members will be publicly identified as a member of the Institute, including on the Institute’s public-facing and member-only websites, unless otherwise requested in writing to the Institute.

Confidentiality

Except as permitted by these Terms, or as required by applicable law, during and following the period of Membership, members agree to keep confidential all material non-public information provided to members by the Institute, including, without limitation, all Content. To ensure the confidentiality of such information, members shall use the same care as used with member’s own information, but not less than a reasonable degree of care. Members agree not to disclose such information to any third party, and not to use any confidential information belonging to the Institute except as expressly permitted by Membership.

Warranty and Disclaimer

The Content provided by the Institute is based upon information believed to be reliable. The Institute does not guarantee the accuracy of any Content or other information provided to members, nor shall the Institute be responsible for professional errors, omissions, or errors of transmission of information. The Content is provided on an “as-is” and “as available” basis and, except as expressly set forth in these Terms, the Institute makes no other warranty, express or implied, including without limitation, any warranties against infringement or warranties of merchantability or fitness for a particular purpose. Under no circumstances shall the Institute be liable to members or to any third party for incidental, indirect, special, or consequential damages of any kind, including, without limitation, lost profits, and speculative damages, in connection with Membership.

Governing Law & Jurisdiction

The Terms will be governed, construed, and enforced in accordance with the laws of the State of Utah, without regard to its conflict of laws rules. Members irrevocably consent to the exclusive jurisdiction and venue of any state or federal court located within Salt Lake County, State of Utah, in connection with any matter arising out of the Terms or any transaction contemplated under the Terms.
